Home Terms of Service

These Terms of Service ("Terms") govern your access to, usage of all content, products, and services available at this website (the "Service") operated by R&C Electrical Service, L.L.C ("us", "we", or "our"). Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein.

1. Electrical Services and Timelines

Scope of Services: We agree to provide electrical services (including repairs, upgrades, installations, inspections, and related services) as detailed in a separate, customized Statement of Work (SOW). The SOW will explicitly define project timelines, deliverables, required materials, permitting responsibilities, and project milestones.

Timelines: While we utilize precision analytics to complete projects efficiently, final timelines depend on site conditions, material availability, inspection requirements, and permitting where applicable. Specific turnaround times for deliverables are outlined in the SOW.

2. Payment Terms

Client agrees to pay for services as outlined in the SOW. Payments for monthly retainer services are due in advance of the service period to maintain project continuity. Any third-party costs (e.g., permit fees, utility coordination fees, or specialty materials requested by the client) are the sole financial responsibility of the client. Failure to make timely agency payments may result in the pausing of scheduled work or termination of services.

3. Intellectual Property and Project Materials

Any technical plans, installation methods, project documentation, or service materials developed by R&C Electrical Service, L.L.C during the term of the agreement remain our intellectual property until full payment is rendered. The client is granted a license to use these materials in connection with their business upon payment. Client-provided materials (e.g., logos, branding, proprietary content) remain the property of the Client, and the Client warrants they have the full legal right to use such materials in project execution.

4. Client Responsibilities and Access

The Client agrees to provide all necessary access to information, data, and personnel required for us to perform the services. This includes prompt site access, relevant property details, electrical history when available, and timely communication for approvals. The Client is responsible for approving estimates, scope changes, and required deliverables in a timely manner. Delays on the Client's part directly affect project timelines and completion.

5. Confidentiality

Both parties agree to keep all non-public information, including business information, technical recommendations, project pricing, and customer details, strictly confidential. This obligation of confidentiality shall survive the termination of any service agreement.

6. Termination

Either party may terminate the agreement with 30 days written notice, unless a specialized contract duration is stipulated in the SOW. R&C Electrical Service, L.L.C may terminate or suspend your access to all or any part of our Services immediately in cases of non-payment or a material breach of these terms. Upon termination, the client is responsible for all fees accrued up to the termination date.

7. Legal Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE". R&C Electrical Service, L.L.C disclaims all warranties of any kind, express or implied. Due to project outcomes depend on existing site conditions and factors outside our control, we do not guarantee outcomes beyond the agreed scope and applicable codes. Service recommendations are based on information available at the time of assessment.

8. Limitation of Liability

In no event will R&C Electrical Service, L.L.C, its suppliers, or licensors be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or indirect losses resulting from third-party failures or unforeseen conditions. Our total liability shall not exceed the amount paid by the Client to us in the three (3) months prior to the claim.

9. Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the jurisdiction where R&C Electrical Service, L.L.C is registered.
